1. Acceptance of Terms
By accessing or using the PriceDepth API, website, documentation, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
2. Service Description
PriceDepth provides a pricing data infrastructure platform for alternative assets via a REST API. The Service includes:
- Real-time and historical fair market value (FMV) data for collectibles and alternative assets
- Multi-source price aggregation from verified marketplaces and auction houses
- Confidence scoring and data quality indicators
- Signed index feeds (PDI-100, PDI-Pokemon, PDI-Sports, PDI-PSA10)
- Portfolio valuation, trend analysis, and market intelligence tools
- API documentation, SDKs, and integration support
3. Account Registration
- You must be at least 18 years of age to create an account and use the Service
- You must provide accurate, current, and complete information during registration
- You are solely responsible for maintaining the confidentiality of your API keys and account credentials
- You must immediately notify PriceDepth of any unauthorized use of your account or API keys
- You are responsible for all activity that occurs under your account, including API calls made using your keys
- PriceDepth reserves the right to suspend or terminate accounts that violate these Terms
4. API Usage
4.1 Rate Limits and Quotas
API access is subject to rate limits and usage quotas based on your subscription plan. Exceeding your plan limits may result in throttled responses (HTTP 429) or overage charges, depending on your plan.
4.2 Prohibited Uses
You agree NOT to:
- Resell raw data without an Enterprise license — You may not redistribute, sublicense, or resell PriceDepth data in raw form to third parties unless you hold an Enterprise plan with an explicit data redistribution agreement
- Scrape or circumvent the API — You may not access pricing data through any means other than the documented API endpoints (e.g., no web scraping, HTML parsing, or reverse-engineering of our web interface)
- Reverse engineer — You may not decompile, disassemble, or reverse engineer any part of the Service, including our pricing algorithms, index methodologies, or source weighting
- Use for illegal purposes — You may not use the Service for any purpose that violates applicable law, including market manipulation, fraud, or money laundering
- Circumvent security — You may not attempt to bypass authentication, rate limiting, or access controls
- Impersonate others — You may not use the Service while misrepresenting your identity or affiliation
4.3 Acceptable Use
You may use PriceDepth data to:
- Power internal analytics, valuation, and reporting tools
- Display pricing data in your application with proper attribution ("Powered by PriceDepth")
- Build derivative analyses, insights, and visualizations
- Inform investment decisions (subject to the data accuracy disclaimer below)
5. Pricing and Payment
- Subscription billing: Paid plans are billed on a recurring basis (monthly or annually) through Stripe. By subscribing, you authorize us to charge your payment method on each billing cycle
- Price changes: We may change our pricing with at least 30 days advance written notice. Price changes take effect at the start of your next billing cycle after the notice period
- No refunds for partial months: If you cancel your subscription mid-cycle, you will retain access until the end of the current billing period. We do not issue prorated refunds for partial months
- Overages: If your plan includes overage billing, additional API calls beyond your quota will be billed at the rate specified in your plan details
- Failed payments: If a payment fails, we may suspend your access until payment is successfully processed. We will notify you before suspension
6. Data Accuracy Disclaimer
IMPORTANT: Please read this section carefully.
- Pricing data provided by PriceDepth is informational only and does NOT constitute financial advice, investment advice, or a recommendation to buy, sell, or hold any asset
- We make no guarantee of accuracy or completeness. Pricing data is derived from publicly available marketplace data and may contain errors, delays, or omissions
- Fair market value (FMV) calculations are estimates based on available market data using our published methodology. Actual transaction prices may differ materially from FMV estimates
- PriceDepth is not responsible for trading or investment decisions made based on our data. You should conduct your own due diligence and consult qualified financial advisors before making investment decisions
- Historical data may be corrected or adjusted retroactively as data quality improves
7. Intellectual Property
All aspects of the PriceDepth Service, including but not limited to:
- The API, its design, architecture, and endpoints
- Pricing data compilations, indices, and derived datasets
- Documentation, methodologies, and specifications
- Website content, design, and branding
- Software, algorithms, and source code
are the intellectual property of PriceDepth, Inc. and are protected by copyright, trade secret, and other intellectual property laws. Your use of the Service does not grant you any ownership rights in any of the above.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and your subscription plan.
8. Service Level
- Target uptime: We target 99.9% monthly uptime for Enterprise customers and 99.5% for Pro customers. Free tier accounts receive best-effort availability. See our Service Level Agreement for full details
- Scheduled maintenance: We may perform scheduled maintenance during low-traffic hours. Maintenance windows are announced at least 48 hours in advance via email and on our Status page
- Third-party dependencies: PriceDepth is not liable for outages or degraded performance caused by third-party data sources, payment processors, or infrastructure providers
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- PRICEDEPTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE
- PRICEDEPTH'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PRICEDEPTH DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM
- THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF PRICEDEPTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
10. Termination
- By you: You may terminate your account at any time by canceling your subscription through your account dashboard or by contacting us at [email protected]
- By PriceDepth: We may suspend or terminate your access with 30 days written notice for any reason. We may terminate immediately without notice if you materially breach these Terms, including engaging in prohibited uses
- Effect of termination: Upon termination, your right to access the Service ceases immediately. Your API keys will be revoked. We will retain your data in accordance with our Privacy Policy data retention schedule
- Survival: Sections regarding intellectual property, limitation of liability, data accuracy disclaimers, and governing law survive termination
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration taking place in Delaware.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
12. Changes to Terms
We may modify these Terms at any time. For material changes, we will provide at least 30 days advance notice by email to the address associated with your account.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your account.
